OVERVIEW

Welcome to Vaela Curated.

The terms “Vaela Curated,” “Vaela,” “we,” “us,” and “our” refer to Vaela Curated. We operate the website www.vaelacurated.com, including the online store and all related information, content, features, products, tools and services made available through the website (collectively, the “Services”).

These Terms of Service (“Terms”) govern your access to and use of the Services and your purchase of products from Vaela Curated.

By visiting our website, creating an account, placing an order, purchasing a product, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, you should not access or use the Services.

Nothing in these Terms is intended to limit or exclude any rights or remedies that cannot legally be limited or excluded under applicable consumer protection or other laws.

1. ELIGIBILITY, ACCESS AND ACCOUNTS

You must be at least the age of majority in your province, state or other jurisdiction of residence to enter into a purchase with Vaela Curated on your own behalf.

If you are under the age of majority, you may use the Services only with the involvement and permission of a parent or legal guardian who accepts responsibility for your use of the Services and any purchases made.

When using the Services or placing an order, you agree to provide accurate, current and complete information, including your name, email address, billing information, shipping information and payment information.

You are responsible for maintaining the confidentiality of any account credentials associated with your account and for activity occurring through your account.

You may not sell, transfer, assign or provide your account credentials to another person.

We reserve the right to suspend, restrict or terminate access to an account where we reasonably believe the account is being used fraudulently, unlawfully or in violation of these Terms.

2. VINTAGE AND PRE-OWNED PRODUCTS

Vaela Curated specializes in curated vintage and pre-owned designer goods.

Unless expressly identified otherwise in a product listing, products sold through Vaela Curated have been previously owned and/or used.

Condition

Vintage and pre-owned items may display signs of age, previous use, storage or natural material changes.

Depending on the item, this may include normal signs of wear such as scratches, creasing, tarnishing, fading, discolouration, patina, hardware wear, marks, surface wear, interior wear or other characteristics consistent with a previously owned item.

We make reasonable efforts to photograph and describe each item's overall condition and to disclose material condition issues known to us.

Our condition ratings and descriptions represent our good-faith assessment of the item at the time it is listed. Condition grading is inherently subjective and should be considered together with the complete written description and product photographs.

Customers are responsible for reviewing all available photographs, measurements, condition information and product descriptions before completing a purchase.

Measurements

Measurements are approximate and are provided as a convenience. Small variations may occur depending on how an item is measured.

Colour and Appearance

We make reasonable efforts to display product colours and details accurately. However, the appearance of colours, textures and finishes may vary depending on lighting, photography, your device, monitor settings and other factors outside our control.

Such reasonable variations do not necessarily indicate that an item has been inaccurately described.

3. AUTHENTICITY

Authenticity is fundamental to Vaela Curated.

All designer goods sold by Vaela Curated are represented by us as authentic.

We assess authenticity before offering an item for sale. Our assessment process may include examination of the item, supporting information, supplier documentation and/or reputable independent third-party authentication services where appropriate.

Authentication performed by Vaela Curated or a third-party authentication provider is independent of the designer brand that originally manufactured the item.

Lifetime Authenticity Guarantee

Vaela Curated stands behind the authenticity of the designer goods we sell.

If you believe an item purchased directly from Vaela Curated is not authentic, please contact us at vaelacurated@gmail.com with your order information and supporting documentation.

Where a reputable independent authentication service mutually accepted by Vaela Curated and the customer provides a written determination that the item is not authentic, and we verify that the item is the same item originally purchased from Vaela Curated, we will provide instructions for resolving the matter.

Upon return and verification of the applicable item, Vaela Curated will refund the amount paid for the item, including applicable sales taxes and the original standard shipping charge.

We may require photographs, authentication documentation or other reasonable evidence to confirm the claim and the identity of the item.

The Lifetime Authenticity Guarantee applies only to authenticity. It does not apply to disagreements regarding condition, age, colour, style, measurements, market value or normal characteristics of vintage or pre-owned products.

Nothing in this section limits any rights or remedies available to you under applicable law.

4. DESIGNER TRADEMARKS AND BRAND AFFILIATION

Vaela Curated is an independent reseller of pre-owned and vintage designer goods.

Unless expressly stated otherwise, Vaela Curated is not affiliated with, associated with, sponsored by, endorsed by or an authorized retailer of any of the designer brands whose products may appear on our website.

Designer names, trademarks, logos and other brand identifiers appearing on the Services remain the property of their respective owners.

References to designer brands are used solely to accurately identify, describe and provide information concerning authentic pre-owned goods being offered for resale.

No designer brand is responsible for Vaela Curated's authentication process, product descriptions, sales, customer service or other business activities.

5. PRODUCT AVAILABILITY

Many products sold by Vaela Curated are one-of-one vintage or pre-owned pieces.

Availability is therefore limited and an item may become unavailable at any time.

Placing an item in your shopping cart does not reserve the item.

We reserve the right to limit quantities, discontinue an item, correct inventory information or remove an item from sale at any time.

Although we make reasonable efforts to maintain accurate inventory information, an item may occasionally sell through another permitted sales channel or become unavailable before our inventory systems are updated.

If you purchase an item that is no longer available, we will cancel the affected purchase and refund the amount charged for that item.

6. ORDERS AND ORDER ACCEPTANCE

Submitting an order constitutes an offer to purchase the products included in your order.

Receipt of an order confirmation or payment authorization does not necessarily mean that we have accepted your order.

Vaela Curated reserves the right, subject to applicable law, to accept, reject or cancel an order where reasonably necessary, including because of:

product unavailability;
suspected fraud or unauthorized payment;
incorrect pricing or product information;
a payment processing issue;
an error in inventory;
shipping restrictions;
suspected commercial resale activity contrary to an applicable offer; or
another legitimate business or legal reason.

If we cancel an order after payment has been processed, the applicable amount will be refunded to the original payment method.

Please review your order carefully before submitting it.

Once an order has been accepted or entered the fulfilment process, we may be unable to accommodate requests to change or cancel it.

7. PRICING, TAXES AND PAYMENT

Unless otherwise indicated, prices displayed on Vaela Curated are in Canadian dollars (CAD).

Prices may change without notice.

The price applicable to your purchase will be the price shown when your order is submitted, subject to correction of obvious errors as permitted by applicable law.

Applicable sales taxes and shipping charges will be displayed during checkout where required.

International customers may also be responsible for customs duties, import taxes, brokerage charges or similar government or carrier charges associated with delivery to their country.

Unless expressly stated otherwise, those international import charges are not included in the product price.

You agree to provide accurate and complete payment and billing information.

By submitting a payment method, you represent that you are authorized to use that payment method and authorize Vaela Curated and its payment processors to charge the amounts associated with your order.

Payments may be processed through Shopify and/or other third-party payment service providers. Your use of those payment services may also be subject to the applicable provider's terms and privacy practices.

We reserve the right to take reasonable steps to verify payment information and prevent fraudulent transactions.

8. FINAL SALE, RETURNS AND EXCHANGES

Because Vaela Curated sells vintage and pre-owned products, all sales are final unless expressly stated otherwise.

We do not generally accept returns, exchanges or refunds for:

change of mind;
buyer's remorse;
fit or size;
a customer no longer wanting the item;
reasonable colour differences caused by screens or displays;
normal vintage or pre-owned characteristics;
condition or wear that was disclosed in the product description or photographs; or
other matters that were reasonably disclosed before purchase.

Please carefully review the entire product listing before placing your order.

Exceptions

Our Final Sale Policy does not apply where a return, refund, cancellation or other remedy is required under applicable law.

It also does not limit the Lifetime Authenticity Guarantee described in these Terms.

If you believe you received the wrong item, an item was materially damaged during delivery, or there is another significant problem with your order, contact us at vaelacurated@gmail.com promptly after receiving it so that we can investigate.

Providing prompt notice helps us investigate shipping or order issues but does not eliminate any rights you may have under applicable law.

Any exception we voluntarily make to our Final Sale Policy on a particular transaction does not require us to make the same exception for future transactions.

9. SHIPPING AND DELIVERY

Shipping options and applicable shipping charges will be displayed at checkout where available.

Delivery dates and transit times are estimates unless we expressly state otherwise.

Shipping times may be affected by carriers, weather, customs, holidays, high-volume periods and other circumstances outside our reasonable control.

Nothing in this section limits any cancellation, refund or delivery rights that apply under applicable consumer protection laws.

Address Information

You are responsible for providing a complete and accurate shipping address.

Please contact us as soon as possible if you notice an address error. We cannot guarantee that an address can be changed after an order has entered fulfilment.

To the extent permitted by applicable law, additional costs resulting from an incorrect address, refused shipment, failed delivery or customer-requested re-delivery may be charged to the customer.

Signature Requirements

For security and protection of high-value items, Vaela Curated may require a signature upon delivery.

Customers are responsible for ensuring that someone is available to receive a signature-required package or for making appropriate arrangements with the carrier where available.

Lost or Damaged Shipments

If tracking indicates a delivery problem or your package arrives materially damaged, please contact us promptly at vaelacurated@gmail.com.

We may require photographs, packaging materials or other information reasonably necessary to submit or investigate a carrier claim.

10. INTERNATIONAL ORDERS, CUSTOMS AND DUTIES

Customers ordering from outside Canada are responsible for understanding the import rules applicable in their destination country.

International orders may be subject to customs duties, import taxes, brokerage charges and other fees imposed by governments, customs authorities or carriers.

Unless expressly stated otherwise during checkout, these charges are the customer's responsibility.

Vaela Curated does not control customs processing times and cannot guarantee when an international shipment will clear customs.

We will not intentionally misrepresent the value, nature or contents of a shipment on customs documentation.

11. PROMOTIONS AND DISCOUNT CODES

From time to time, Vaela Curated may offer discount codes, promotions, early-access offers or other incentives.

Promotions may be subject to additional terms, including eligibility requirements, expiration dates, minimum purchases, exclusions and limits on combining offers.

Unless otherwise stated, promotions:

have no cash value;
cannot be applied retroactively to completed purchases;
may not be combined with other offers; and
may be modified or discontinued subject to applicable law.

If specific promotional terms conflict with these Terms, the specific promotional terms will govern with respect to that promotion.

12. ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on the Services may contain typographical errors, inaccuracies or omissions relating to matters such as:

product descriptions;
measurements;
condition information;
pricing;
promotions;
availability;
shipping costs; or
delivery estimates.

We reserve the right to correct errors, update information or cancel affected orders where permitted by applicable law.

If an error materially affects an order that has already been placed, we will take reasonable steps to notify you and provide any remedy required by applicable law.

13. INTELLECTUAL PROPERTY

The Services and Vaela Curated's original content, including its website design, branding, logos, graphics, text, product photography, videos, written descriptions, editorial content and other materials, are owned by or licensed to Vaela Curated and are protected by applicable Canadian and international intellectual property laws.

You may access and use the Services for your personal, non-commercial use.

Unless we provide prior written permission, you may not:

reproduce or republish substantial portions of our website;
copy our original product photography for commercial purposes;
modify or create derivative works from our original content;
sell, license or commercially exploit our content;
remove copyright, trademark or other proprietary notices; or
use our branding in a manner that falsely suggests affiliation with Vaela Curated.

Designer trademarks and logos appearing in connection with products remain the property of their respective owners as described in Section 4.

All rights not expressly granted are reserved.

14. REVIEWS, FEEDBACK AND USER CONTENT

You may have opportunities to provide reviews, photographs, comments, testimonials, suggestions or other content (“User Content”).

You retain ownership of User Content you own.

By voluntarily submitting User Content to Vaela Curated, you grant us a non-exclusive, worldwide, royalty-free licence to reproduce, display, publish, adapt and use that User Content for operating, improving and promoting Vaela Curated and its Services.

You represent that you have the rights necessary to provide the User Content and that our permitted use of it will not violate another person's rights.

You may not submit User Content that is unlawful, fraudulent, misleading, defamatory, threatening, abusive, obscene, infringing, malicious or otherwise violates applicable law or another person's rights.

We may remove User Content from our Services where we reasonably consider it inappropriate, unlawful or in violation of these Terms.

We are not obligated to compensate you for unsolicited feedback, suggestions or ideas.

15. THIRD-PARTY TOOLS AND LINKS

The Services may include links, integrations, applications, payment tools, social-media features or other services operated by third parties.

We do not control all third-party services and are not responsible for their independent content, availability, privacy practices or terms.

Your use of third-party services may be governed by separate agreements between you and those providers.

You should review applicable third-party terms and privacy policies before using their services.

16. SHOPIFY

Our online store is powered by Shopify, which provides the e-commerce infrastructure that allows us to offer products and Services to you.

Purchases from the Vaela Curated store are transactions between you and Vaela Curated, not purchases from Shopify.

Certain information may be processed by Shopify and other service providers as necessary to operate our online store, process payments, prevent fraud and provide the Services.

Please refer to our Privacy Policy for further information regarding how personal information is collected, used and disclosed.

17. PRIVACY

Our collection, use, disclosure and handling of personal information is governed by our Privacy Policy and applicable privacy laws.

By using the Services, you acknowledge that information required to provide the Services may be processed by Vaela Curated, Shopify and other service providers assisting with functions such as payment processing, website hosting, shipping, analytics, fraud prevention and customer service.

18. ELECTRONIC COMMUNICATIONS AND MARKETING

By placing an order or creating an account, you agree that we may send you communications reasonably necessary to administer your account, process your purchase, provide customer service and communicate information relating to your transaction.

Transactional communications are separate from promotional marketing communications.

Where required by applicable law, we will obtain the appropriate consent before sending commercial electronic marketing messages.

You may unsubscribe from marketing communications using the unsubscribe method included in the applicable communication or by contacting us.

Unsubscribing from marketing messages will not prevent us from sending communications that are necessary to complete or administer an existing transaction, respond to you, provide required notices or otherwise communicate where permitted by law.

19. PROHIBITED USES

You may use the Services only for lawful purposes.

You must not use the Services to:

violate any applicable law or regulation;
engage in fraud or deceptive activity;
infringe our intellectual property rights or those of another person;
submit false, misleading or fraudulent information;
impersonate another person;
transmit malicious software or harmful code;
interfere with the security or proper functioning of the Services;
attempt to gain unauthorized access to accounts or systems;
harvest personal information about other users;
send spam or unauthorized solicitations;
scrape, crawl, copy or extract substantial amounts of website content using automated systems without our permission;
circumvent security or access-control systems; or
use the Services in a manner that materially interferes with another person's use of them.

We may restrict or terminate access to the Services where we reasonably determine that these Terms have been violated.

20. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Except for representations expressly made by Vaela Curated, including our representations concerning authenticity and any rights or warranties that cannot legally be excluded, we do not make additional warranties regarding uninterrupted access to the Services or that every website feature will always be error-free or available.

Because Vaela Curated sells vintage and pre-owned products, items are not represented as being in new condition unless a listing expressly states otherwise.

Nothing in these Terms excludes, restricts or modifies any warranty, condition, right or remedy that cannot be excluded, restricted or modified under applicable law.

21. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Vaela Curated and its directors, officers, employees, contractors, agents, affiliates and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from your use of the Services or purchase of products, including lost profits or lost data, where such damages may lawfully be excluded.

Where liability may lawfully be limited, our aggregate liability arising from a particular product purchase will not exceed the amount you paid to Vaela Curated for the product giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded, including any liability arising from fraud, intentional misconduct or other matters for which applicable law does not permit exclusion.

Nothing in this section limits the Lifetime Authenticity Guarantee or any non-waivable consumer rights.

22. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify and hold Vaela Curated and its directors, officers, employees, agents, contractors and service providers harmless from third-party claims, losses, liabilities and reasonable costs arising directly from:

your unlawful misuse of the Services;
your material violation of these Terms;
User Content you submit that violates another person's rights; or
your violation of applicable law or the rights of a third party.

This section does not require you to indemnify Vaela Curated for claims arising from Vaela Curated's own unlawful conduct.

23. EVENTS OUTSIDE OUR CONTROL

We will not be responsible for a delay or failure to perform an obligation to the extent caused by circumstances reasonably beyond our control, including severe weather, natural disasters, transportation interruptions, carrier disruptions, customs delays, governmental actions, strikes, widespread telecommunications failures or other similar events.

Where such an event affects an existing order, we will continue to comply with any refund, cancellation or other obligations imposed by applicable law.

24. TERMINATION

We may suspend or terminate your access to all or part of the Services where reasonably necessary, including if you materially violate these Terms, misuse the Services or engage in suspected fraudulent or unlawful activity.

Termination does not affect rights or obligations that arose before termination.

Sections that by their nature should continue after termination—including provisions concerning intellectual property, authenticity claims, limitations of liability, governing law and other continuing rights and obligations—will survive termination.

25. GOVERNING LAW AND DISPUTES

These Terms and your use of the Services are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law principles.

Before commencing formal proceedings, we encourage you to contact us at vaelacurated@gmail.com so that we can attempt to resolve the issue directly.

Subject to any mandatory rights you may have under applicable consumer protection law, any legal proceeding arising from these Terms or the Services will be brought before a court of competent jurisdiction in Ontario, Canada.

Nothing in these Terms prevents a consumer from exercising a right or remedy available through a court, government authority, consumer protection agency or other process that cannot legally be waived.

26. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will continue in full force and effect.

27. WAIVER

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision later.

A waiver relating to one circumstance does not constitute a continuing waiver or a waiver relating to another circumstance.

28. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy and any additional terms expressly applicable to a particular promotion or service, constitute the agreement between you and Vaela Curated concerning your use of the Services.

Where a separate policy applies specifically to a particular matter, that policy should be read together with these Terms.

29. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

Vaela Curated may assign or transfer its rights and obligations in connection with a merger, reorganization, sale of the business or substantially all of its assets, or other legitimate business transaction, subject to applicable law.

30. CHANGES TO THESE TERMS

We may update these Terms from time to time.

The most current version will be posted on this page with an updated “Last Updated” date.

Where required by applicable law, we will provide additional notice of material changes.

Changes will apply prospectively from their effective date and will not retroactively alter rights relating to transactions completed before the change unless permitted by law.

Your continued use of the Services after updated Terms become effective constitutes acceptance of those updated Terms.
